ABOUT THE COMPANY:

It is the first licensee of the proprietary Cottell process for creating an emulsion of traditional fuel oil and water.

COTEFCO does not sell fuel. We supply the Emulsion to Combustion (E2C) equipment, design, training and know-how to create reliable, clean-burning, cost-efficient alternative fuel.

In addition to meeting customer needs, COTEFCO is interested in considering collaborative relationships with organizations and individuals who share our commitment to cleaner, more economical ways to burn fuel. This technology is licensed from NoNox Ltd. Nassau, Bahamas (NoNoxLtd.com)

COTEFCO ENERGY GROUP, INC. (“CEG”) is a Delaware (USA) Corporation formed in 2007 to consolidate ownership of several corporations (now subsidiaries). In Fall 2007 CEG acquired all shares of: Cotefco Corporation (a Delaware corporation); Cotefco Industrial Boiler Systems, Inc. (“CIBS”) - a Delaware corporation; Cotefco Residential Systems, Inc. (“CRS”) - a Virginia corporation and Cottell Emulsion Fuel Company - a Virginia corporation. “COTEFCO” is an acronym for Cottell Emulsion Fuel Company, a Virginia corporation which was formed in late 2005 for the purpose of developing and marketing technology (described below) in the field of alternate energy resources. Cotefco Industrial Boiler Systems, Inc. – (“CIBS”) and Cotefco Residential Systems, Inc. (“CRS”) may be utilized as marketing companies in their respective fields.

“COTEFCO ENERGY GROUP, INC.” and its wholly owned subsidiaries are collectively referred to in this document as “COTEFCO or the “Company”.



COMPANY MISSION:

Increasing energy efficiency while reducing pollution is the principal mission of the Company. The Company is a technology leader in pollution reduction and energy efficiency by creation of Emulsion to Combustion (“E2C”) equipment which beneficiates fuel oils by producing energy efficient, pollution-reducing, water in oil emulsions for use in boilers. The Company will also manufacture Cottell Cavitational Processing Reactors (which are at the heart of E2C units) for other mixing and blending applications beyond boilers.

PRESIDENT/CEO/BOARD OF DIRECTORS CHAIR – Charles P. Lickson – background in law, college teaching, conflict resolution, business and public service, former U.S. Army Officer. More than 30 year history with 2 generations of Cottell technology. Degrees: B.A., J.D., Ph.D. Author 7 books including Negotiation Basics, Ironing It Out: Seven Steps to Resolving Conflict and Legal Guide for Small Business. Mr. Lickson is a full-time employee of the Company.

SENIOR VICE PRESIDENT – TECHNOLOGY/RESEARCH AND DEVELOPMENT/BOARD MEMBER – Eric W. Cottell – Inventor of the Cavitational Processing Reactor; son of Jock Cottell (original inventor of water-in-oil emulsions); technical advisor to Tech. Team; Leader of Technology Innovation Team; Licensed Ship Captain; Principal of NoNox, Ltd. (Nassau, Bahamas – Licensor to the Company). Mr. Cottell is a part-time Consultant to the Company.

SENIOR VICE PRESIDENT – ENGINEERING AND QUALITY ASSURANCE/BOARD MEMBER – Charles D. Markert – background in civil and ocean engineering. Senior engineering manager for United States Navy Engineers (30 years). Facilitator: Leads in-house Cotefco Technical Team. Degrees: B.S. (Civil Engineering); M.S. (Ocean Engineering); Masters in Public Administration; Licensed Professional Engineer. Mr. Markert works substantially full-time for the Company.

SENIOR SPECIAL CONSULTANT/ASSISTANT TO THE PRESIDENT AND EXECUTIVE BOARD – Richard Braatz – background in engineering, business, public utilities management and public service. Currently completing tenure as President of public service agency. Degrees: B.S. M.E. (Mech. Engineering); B.B.A. (Bus. Admin); MBA. Mr. Braatz is currently working part-time and will join the Company full-time in Spring, 2008.

SENIOR VICE PRESIDENT – CHIEF FINANCIAL OFFICER/BOARD MEMBER – Michael Noble – background in corporate finance, business development, finance, public accounting. Principal of Noble & Noble Financial Associates, a comprehensive accounting consulting and business services practice. Degrees: B.A.; M.B.A. Certifications: CPA; E.A. Mr. Noble works currently part-time for the Company.

SENIOR VICE PRESIDENT – BUSINESS DEVELOPMENT – William Van Deusen – extensive background in business, commercial food industry and real estate. Former owner: Harmony Hollow Orchards. Former U.S. Army Officer. Degrees: B.A. (Chemistry and Biology); MBA. Mr. Van Deusen works substantially full-time for the Company.

VICE PRESIDENT – OPERATIONS/SECURITY – J. Jones – background in military and civilian business with emphasis on supply chain operations; Retired United States Army Colonel; Team Leader – Lab Team and Fabrication Interface Team; Degrees: BA, Masters in Logistics. Mr. Jones currently works for the Company on a part-time consulting basis.

VICE PRESIDENT - INTERNATIONAL – J.C. Herbert Bryant – executive background in business and international transactions; also senior manager of China State Construction (largest construction company in the world) and a principal of Carlyle, Wei & Perez, LLC, international business consultants. He holds the rank of Retired Brigadier General (U.S. Army). Several honorary doctorates. Mr. Bryant currently works for the Company on a part-time consulting basis.

VICE PRESIDENT – SPECIAL PROGRAMS – Bryane M. Lickson – background in education, business and public service. Managed many seminars, training programs and special meetings in the United States and Europe. Author of two books including Dignified Departure. Degrees: A.A., B.A., Ph.D. Ms. Lickson currently works for the Company on a part-time consulting basis.

VICE PRESIDENT - MANAGER – HEALTHCARE – Mark Appleton – background in both clinical/medicine and healthcare management; former Chief of Sports Medicine for the United States Army; conflict resolution specialist. Team Leader – Health Issues of Gas and Particulate Emissions for Company. Degrees: BS, DPM (Podiatry). Dr. Appleton currently serves on a part-time consulting basis.

VICE PRESIDENT – BUSINESS DEVELOPMENT/MANAGER – GULF REGION – Aaron P. Thomas – background in finance, administration, management and marketing. Former CEO of Odyssea Marine, Inc. – an international marine transportation support company with 29 vessels and 250 employees. Degrees: CPA; MBA. Mr. Thomas works substantially full time for the Company.

VICE PRESIDENT – BUSINESS DEVELOPMENT/MANAGER – FLORIDA AND GEORGIA REGION – Paul W. Badeau – background in industrial engineering, senior sales, process improvement, marketing and general management in technology businesses (30 years). Mr. Badeau works substantially full-time for the Company.

ASSISTANT VICE PRESIDENT – TIDEWATER REGION – Shirley Van Deusen – extensive background in marketing, business and real estate. Administrator of Tidewater (VA) regional office. Ms Van Deusen currently works for the Company on a part-time consulting basis.

SECRETARY – GENERAL COUNSEL – Jeff Matsuura – background intellectual property management/technology commercialization, new venture/enterprise development, commercial transactions, and antitrust in the technology environment and in internet and electronic commerce legal issues, telecommunications and computer law, Member: Alliance Law Group. Degrees: B.A., MBA, J.D. Mr. Matsuura works for the Company on a consulting basis as needed.

INTELLECTUAL PROPERTY COUNSEL – S. Pal Asija – internationally recognized as a patent and trademark attorney, inventor and author; electronics engineer. Elected Member: Inventors Hall of Fame. Degrees: BA, EE, JD, MBA. Mr. Asija currently works for the Company on a consulting basis as needed.

DIRECTOR OF COMMUNICATIONS – Susan Hodges – background in writing about customer service, compensation and technology; currently President of Hodgeswites. Degrees: B.A. (English and Speech). Ms. Hodges currently works for the Company on a part-time consulting basis.

ABOUT ERIC W. COTTELL, THE INVENTOR:

Eric W. Cottell, who resides in Nassau, Bahamas, grew up amid dogs, cats, horses and smells from interesting experiments emanating from his father's laboratory. Acknowledged by many as one of the important inventors of his time, Eric's father, Eric C. "Jock" Cottell, is best known for his important inventions in the area of ultrasonics. Among the senior Cottell's inventions which touch most peoples' lives today are processes for making emulsions used by millions of people across the world in such products as Worcestershire sauce, ketchup, cosmetics and paints.

After Jock Cottell's death, his son Eric decided to push forward with his Dad's process for creating water in oil emulsions for use as a fuel.   Patents issued in the 1970's to Jock Cottell created a big stir worldwide because of the methodology for creating fuel emulsions using water and oil and sometimes, water, oil and pulverized coal. When these emulsions were burned, the results were extraordinary: the water droplets expanded and exploded into steam increasing the efficiency of the boilers where they were installed. An added benefit was fewer polluting waste products.

Eric Cottell had assisted his father in all aspects of the technology including design and fabrication of some of the early "Cottell Reactors" for installation in schools, homes and even an automobile.

In spite of the importance of the Cottell process for making emulsions in a world of shrinking resources and need for cleaner burning fuels, the know-how which had attracted such big names in world commerce as McDonell-Douglas and A.S. Norexim, slipped into dis-use some years ago when it appeared as if the supply of cheap, fossil fuel was plentiful.

With continuing oil and natural gas consumption at record levels in the U.S. and Europe and the additional economic pressures on supply and price from emerging economies like China, the interest and need for new ways of expanding fuel supply and efficiency is once again on the "front burner".

Most of the early Jock Cottell patents have expired, but Eric Cottell has developed new methodology and equipment designs which breathe important new life and new legal protection for his proprietary technology for creation of fuel emulsions.

Process inventor, Eric Cottell, is a Director and Technical Advisor to COTEFCO.
